Important Notice

These Terms of Service ("Terms") govern your access to and use of Twikara, a software product owned and operated by RonLabs Inc., a Delaware corporation ("RonLabs," the "Company," "we," "us," or "our"). By accessing or using Twikara, you agree to be bound by these Terms.

1. Applicability: Consumers vs. Enterprise Users

  • Individual Consumers: These Terms apply directly to you.
  • Enterprise or Business Users: If you use Twikara on behalf of an organization, you represent that you have authority to bind that organization. Separate agreements may supersede these Terms.

2. Definitions

  • "Twikara" means the software product branded as Twikara.
  • "Service" means Twikara and related services.
  • "User" means any individual or entity using the Service.
  • "Content" means materials submitted or generated through the Service.

3. License and Use

RonLabs grants you a limited, revocable, non-exclusive license to use Twikara for lawful purposes.

You agree not to:

  • Use the Service in a way that violates any applicable laws or regulations
  • Reverse engineer any code, or monitor or copy any material, related to the Service
  • Disable, damage, impair, or interfere with system integrity
  • Use the Service to build competing products without authorization
  • Introduce any viruses or other material that is malicious or technologically harmful to the Service
  • Use the Service in a way that is obscene, defamatory, hateful, harassing, explicit, profane, or exploits any persons
  • Use the Service to infringe on the privacy or intellectual property rights of any third party

4. User Content

You retain ownership of your Content. You grant RonLabs a worldwide, irrevocable, royalty-free license to use such Content solely to operate and improve Twikara.

5. Intellectual Property

All intellectual property related to Twikara is owned by or licensed to RonLabs. No rights are granted beyond those expressly stated.

6. Third-Party Services

RonLabs is not responsible for third-party services integrated with Twikara. Use of such services is governed by their terms.

7. Fees and Subscriptions (If Applicable)

Paid features may be subject to fees disclosed at purchase. RonLabs may update pricing with reasonable notice.

8. Termination

RonLabs may suspend or terminate access at any time for violations of these Terms or, in our sole discretion, our discontinuation of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." RONLABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. RONLABS DOES NOT MAKE ANY WARRANTY OR REPRESENTATION REGARDING THE SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER RONLABS NOR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, OFFICERS, DIRECTORS, OR AGENTS SHALL BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND. YOU AGREE THAT RONLABS' TOTAL LIABILITY FOR ANY LOSSES SHALL BE LIMITED TO ONE DOLLAR ($1 USD).

11. Arbitration and Class Action Waiver

11.1 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court, except that either party may seek injunctive relief in a court of competent jurisdiction in the State of Delaware.

Arbitration shall be administered by the American Arbitration Association under its Consumer Arbitration Rules.

11.2 No Class Actions

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

11.3 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to RonLabs within 30 days of first accepting these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles.

13. Changes to Terms

RonLabs may modify these Terms from time to time. Material changes will be communicated through Twikara or by other appropriate means. Continued use of the Service after an update constitutes acceptance of the revised Terms.
